Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”) and ASK Digitech (“Company”, “we”, “us”, or “our”), a digital marketing agency headquartered in Faridabad, Haryana, India.

By accessing our website at www.askdigitech.com, engaging our services, signing a service agreement, or making a payment, you confirm that you have read, understood, and agree to be bound by these Terms.

⚠️ If you do not agree to any part of these Terms, please do not use our services or website.

These Terms apply to all services offered by ASK Digitech including but not limited to SEO, PPC, social media marketing, web design, ORM, and content marketing.

Services Provided

ASK Digitech provides professional digital marketing services including:

  • Search Engine Optimization (SEO & Local SEO): On-page, off-page, technical SEO, Google My Business optimization, citation building, and near-me optimization.
  • Search Engine Marketing (SEM/PPC): Paid advertising campaigns on Google Ads, Bing Ads, Facebook Ads, Instagram Ads, LinkedIn Ads, and other platforms.
  • Social Media Marketing (SMM): Content creation, scheduling, community management, and paid promotions on Facebook, Instagram, Twitter, LinkedIn, YouTube, and Pinterest.
  • Website Design & Development: Custom website design, WordPress/CMS development, responsive design, redesigning, and website maintenance.
  • Online Reputation Management (ORM): Monitoring, managing, and improving your brand’s online reputation.
  • Content Marketing & Lead Generation: Blog writing, content strategy, landing pages, and lead generation campaigns.

The specific scope, deliverables, timelines, and pricing of services will be outlined in a separate Service Agreement or Proposal signed by both parties.

ℹ️ ASK Digitech reserves the right to modify, suspend, or discontinue any service at any time with reasonable prior notice to the Client.

Client Responsibilities

To enable ASK Digitech to deliver services effectively, the Client agrees to:

  • Provide accurate, complete, and up-to-date information about their business, industry, target audience, and goals.
  • Grant timely access to required accounts including but not limited to: Google Analytics, Google Search Console, Google Ads, Meta Business Manager, website CMS/hosting, and social media accounts.
  • Review and approve deliverables (content, creatives, reports) within the agreed turnaround time. Delays in approval may impact campaign performance and timelines.
  • Ensure all information, images, logos, and brand assets shared with ASK Digitech are legally owned or licensed by the Client.
  • Refrain from making changes to the website, ad accounts, or campaigns being managed by ASK Digitech without prior written notice.
  • Make payments in accordance with the agreed payment schedule.
  • Notify ASK Digitech of any changes in business direction, products, or services that may affect the marketing strategy.
⚠️ ASK Digitech shall not be held responsible for poor results arising from the Client’s failure to fulfil the above responsibilities.

Payment Terms & Billing

Payment terms will be specified in the individual service agreement. Unless otherwise agreed in writing:

  • Monthly Retainers: Invoices are raised at the beginning of each billing cycle and are due within 7 days of the invoice date.
  • Project-Based Work: A minimum of 50% advance payment is required before project commencement; the remaining balance is due upon project completion.
  • Ad Spend: Paid advertising budgets (Google Ads, Meta Ads, etc.) are separate from ASK Digitech’s management fees. The Client is responsible for directly funding their ad accounts unless a separate arrangement is documented.
  • Late Payments: Invoices unpaid beyond 15 days of the due date may attract a late fee of 2% per month on the outstanding amount.
  • Service Suspension: ASK Digitech reserves the right to pause or suspend services if payments are overdue by more than 30 days.

All prices are quoted in Indian Rupees (INR) unless specifically stated otherwise. Applicable taxes (GST) will be added to all invoices as per Government of India regulations.

ℹ️ Refunds are considered on a case-by-case basis. Work already completed and delivered is non-refundable. Please refer to your specific service agreement for refund terms.

Intellectual Property Rights

Upon full payment of all dues, ASK Digitech assigns to the Client full ownership of the following deliverables created specifically for the Client:

  • Custom website designs and developed code
  • Content, copy, and creatives written/designed exclusively for the Client
  • Reports and campaign data specific to the Client’s business

The following remain the exclusive property of ASK Digitech and may not be copied, reproduced, or distributed without written permission:

  • Proprietary processes, methodologies, frameworks, and tools used in service delivery
  • Templates, internal reports, and software tools developed by ASK Digitech
  • The ASK Digitech brand, logo, website content, and training materials

The Client grants ASK Digitech a non-exclusive, royalty-free licence to use the Client’s brand assets, logos, and content solely for the purpose of delivering the agreed services.

ASK Digitech reserves the right to showcase completed work in its portfolio and case studies unless the Client expressly requests confidentiality in writing.

Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, business strategies, customer data, and financial information disclosed during the course of the engagement.

ASK Digitech will not disclose the Client’s confidential information to any third party without prior written consent, except where required by law or regulation.

This confidentiality obligation survives the termination of the service agreement for a period of two (2) years.

Confidentiality does not apply to information that:

  • Is or becomes publicly known through no breach of this agreement
  • Was already known to ASK Digitech before disclosure
  • Is independently developed by ASK Digitech without reference to the Client’s confidential information
  • Is required to be disclosed by law or court order

Campaign Performance & Disclaimers

Digital marketing results are inherently variable and depend on numerous factors outside of ASK Digitech’s control. The Client acknowledges that:

  • ASK Digitech does not guarantee specific rankings, traffic numbers, lead volumes, or revenue outcomes unless explicitly stated in a written performance agreement.
  • Search engine algorithms (Google, Bing, etc.) change frequently and unpredictably, which may affect SEO performance.
  • PPC and paid media results depend on advertising budgets, market competition, seasonality, and platform policies.
  • Social media reach and engagement are influenced by platform algorithm changes beyond our control.
  • Any estimates or projections provided are based on industry benchmarks and past data, and are not guaranteed outcomes.

⚠️ ASK Digitech is not responsible for any Google penalties, ad account suspensions, or platform bans resulting from the Client’s pre-existing issues, or from the Client’s own actions on their accounts.

ASK Digitech commits to delivering services with professional care, industry best practices, and transparent reporting of campaign performance on a regular basis.

Third-Party Platforms

Many of our services operate on third-party platforms including Google, Meta, LinkedIn, Twitter/X, and others. The Client acknowledges that:

  • Use of these platforms is subject to each platform’s own terms of service and advertising policies.
  • ASK Digitech is not affiliated with or endorsed by Google, Meta, or any other third-party platform.
  • Third-party platform fees (ad spend, tool subscriptions) are the Client’s responsibility unless otherwise agreed.
  • Platform policy changes, account suspensions, or data restrictions are outside ASK Digitech’s control.
  • ASK Digitech uses industry-standard third-party tools (SEMrush, Ahrefs, Google Analytics, etc.) to deliver and measure services.

Limitation of Liability

To the maximum extent permitted by applicable law, ASK Digitech’s total liability to the Client for any claim arising out of or in connection with these Terms or the services provided shall not exceed the total fees paid by the Client to ASK Digitech in the three (3) months preceding the event giving rise to the claim.

ASK Digitech shall not be liable for any:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of revenue, profits, or business opportunities
  • Loss or corruption of data
  • Damages resulting from unauthorized access to the Client’s accounts
  • Business interruption losses

These limitations apply regardless of the form of the claim, whether in contract, tort, or otherwise, even if ASK Digitech has been advised of the possibility of such damages.

Termination

Either party may terminate the service agreement by providing 30 days’ written notice to the other party, unless a different notice period is specified in the service agreement.

ASK Digitech may terminate immediately, without notice, if the Client:

  • Fails to make payment after 30 days of the due date
  • Engages in fraudulent, illegal, or unethical activities
  • Breaches any material term of this agreement and fails to remedy the breach within 7 days of written notice

Upon termination:

  • All outstanding payments become immediately due and payable
  • ASK Digitech will provide the Client with all completed work and data up to the termination date
  • Both parties will return or destroy confidential information as requested
  • Access to managed accounts will be transferred back to the Client within 7 business days

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, specifically applicable to the state of Haryana.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If resolution is not achieved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Faridabad, Haryana, India, and proceedings shall be conducted in English.

The courts of Faridabad, Haryana shall have exclusive jurisdiction over any matters not subject to arbitration.
